Terms of Service

1. Services Offered

Wi Filings, a service of Vivid Resources LLC, provides the following business compliance services for Wisconsin entities:

• LLC Formation (Articles of Organization filing with Wisconsin DFI)
• Registered Agent Service (physical Milwaukee address for legal service of process)
• Annual Report Filing (Wisconsin DFI annual report preparation and submission)
• EIN Application (IRS Employer Identification Number acquisition)
• Document Services (Operating Agreement, BOI Report, Certificate of Good Standing, RA Change Filing)

2. Auto-Enrollment in Annual Services

All formation and registered agent clients are automatically enrolled in our annual report filing and registered agent renewal services. Your card on file will be charged annually on the same date your service was activated (or the first business day following, if that date falls on a weekend or federal holiday). You will receive a reminder notice 90 days before each renewal. You may cancel auto-renewal at any time from your client dashboard.

Annual report filing fee: $75/year ($50 service fee + $25 Wisconsin DFI state fee). Registered agent renewal: $169/year.

3. Registered Agent Service Terms

As your registered agent, Wi Filings (Vivid Resources LLC) will:

• Maintain a physical address at 790 N. Milwaukee Street, Suite 300, Milwaukee, WI 53202 for service of process
• Accept and forward all legal documents, state correspondence, and service of process to you via email on the same business day received
• Maintain availability during normal Wisconsin business hours (8:00 AM – 5:00 PM CST, Monday–Friday)
• File your annual report with the Wisconsin DFI before each deadline

You are responsible for maintaining a current email address on file with us. Failure to update your contact information may result in missed legal notices for which Wi Filings cannot be held liable.

4. Annual Filing Terms

Wisconsin DFI state filing fees are pass-through costs collected at the time of payment. We do not mark up state fees. Current state fees: $25 for LLCs, $40 for Corporations.

We file annual reports within 3 business days of receiving complete information (or within 3 business days of the due date for auto-enrolled clients). Filing confirmation with the DFI confirmation number is sent to your email upon completion.

5. Refund Policy

• 24-hour cancellation window: You may request a full refund within 24 hours of purchase for any service that has not yet been submitted to the Wisconsin DFI or IRS.
• After DFI/IRS submission: No refunds are available once a filing has been submitted to the Wisconsin DFI or IRS, as state fees are non-refundable and the filing cannot be reversed.
• Registered agent service: Prorated refunds are available for unused months of registered agent service if cancelled before the renewal date.

6. Payment Terms

All payments are processed securely through Stripe. By purchasing a service, you authorize Wi Filings to:

• Charge the payment method provided for the selected service
• Store your payment method on file for future annual charges (autopay) if you purchase formation or annual report services
• Charge your card on file for annual renewals on your service anniversary date (or the next business day if that date falls on a weekend or federal holiday)

7. Limitation of Liability

Wi Filings (Vivid Resources LLC) provides business filing services as an intermediary between you and the Wisconsin Department of Financial Institutions. We are not a law firm and do not provide legal advice.

Our liability is limited to the fees paid for the specific service in question. We are not liable for:

• Delays or errors caused by the Wisconsin DFI or IRS
• Consequences of information provided by you that is incorrect or incomplete
• Business decisions made based on our services
• Losses resulting from missed deadlines due to your failure to provide timely information

In no event shall our total liability exceed the amount paid by you for the specific service giving rise to the claim.

8. Wisconsin Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes arising from these terms or our services shall be resolved in the courts of Milwaukee County, Wisconsin.

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
